Terms and Conditions

About these terms

Video Colorado is a trade name of Panamericana Media LLC, a Colorado limited liability company. For purposes of these Terms of Use & Service (“Terms”), “Video Colorado,” “Panamericana Media,” “we,” “us,” and “our” refer to Panamericana Media LLC, including when it operates under the Video Colorado trade name.

These Terms govern your access to and use of videocolorado.com (the “Site”), your communications with us regarding potential services, and certain general aspects of services provided by Video Colorado unless a separate written agreement provides otherwise.

By accessing or using the Site, submitting an inquiry, or otherwise using functionality provided through the Site, you agree to these Terms to the extent applicable to that interaction. If you do not agree with these Terms, you should not use the Site.

Project Agreements Control

Creative and production projects are generally governed by project-specific documents, which may include a proposal, estimate, statement of work, production agreement, master services agreement, purchase order, change order, license, release, invoice, or other written agreement (collectively, “Project Documents”).

Project Documents may establish the scope of work, deliverables, schedule, fees, payment terms, revision rounds, cancellation terms, ownership, licensing, usage rights, confidentiality obligations, raw footage policies, production responsibilities, expenses, and other terms specific to a project.

If a Project Document conflicts with these Terms regarding a particular project, the applicable Project Document will control to the extent of that conflict.

These Terms should therefore be understood as general terms governing the Site and our business relationship, not as a substitute for the specific agreement governing a production.

Website use

You may access and use the Site for lawful personal or business purposes, including learning about Video Colorado, viewing publicly available portfolio work, reviewing our services, sharing links to public pages, and contacting us regarding potential projects.

You may not use the Site in a manner that violates applicable law, interferes with its operation or security, attempts to gain unauthorized access to systems or information, bypasses access controls, introduces malicious code, impersonates another person or organization, misrepresents our content or work as your own, or uses the Site to distribute unlawful, fraudulent, deceptive, infringing, or malicious material.

Automated access, scraping, crawling, extraction, or similar activity that materially burdens the Site, circumvents technical restrictions, reproduces substantial portions of the Site, or is conducted for an unlawful or unauthorized purpose is prohibited.

creative and production services

The specific services we agree to provide are defined by the applicable Project Documents. Depending on the project, services may include strategy and story development, pre-production, production, directing, cinematography, photography, interviews, audio recording, editing, color, sound, motion graphics, animation, translation or localization coordination, social content, event coverage, post-production, delivery, or related creative and production services.

Estimates, schedules, and production plans are based on the information, assumptions, requirements, locations, participants, deliverables, and creative direction known at the time they are prepared.

Changes to the scope may require adjustments to fees, production schedules, deliverables, or other terms. Examples may include additional filming days, locations, interviews, versions, formats, revisions, deliverables, travel, talent, licensing, reshoots, expedited delivery, substantial changes in creative direction, or work requested after the originally agreed scope has been completed.

No additional work is included merely because it is related to the same project unless it falls within the agreed scope.

clients responsibilities and project cooperation

Successful production depends on timely collaboration between Video Colorado, the client, and other participants in the project. Clients are responsible for providing reasonably accurate information, timely access, feedback, approvals, authorized brand and project materials, and other inputs required under the applicable Project Documents.

Unless otherwise agreed, clients should identify an appropriate decision-maker or primary contact authorized to provide direction and approvals on behalf of the client. Where multiple stakeholders participate in review, the client is responsible for consolidating feedback where reasonably practical so that conflicting instructions do not unnecessarily delay or expand the work.

Review periods, approval processes, and consequences of delayed feedback may be established in the Project Documents. Silence will not constitute approval unless expressly stated in an applicable agreement.

Production schedules may depend on factors outside Video Colorado’s direct control, including client approvals, participant availability, access to locations, permits, weather, travel, equipment, talent, venues, public events, government processes, third-party vendors, and other production dependencies. Changes to those inputs may require corresponding changes to the schedule or scope.

fees, deposit, invoices and expenses

Fees and payment schedules are established in the applicable proposal, invoice, statement of work, or other Project Document.

We may require a deposit, retainer, booking payment, or other advance payment before reserving production dates, beginning work, committing resources, hiring contractors, ordering materials, or incurring third-party expenses. Unless otherwise stated in the applicable Project Documents, an inquiry, conversation, tentative date, or unsigned proposal does not by itself guarantee availability or reserve production resources.

Approved or reasonably necessary project expenses may be billed separately where permitted by the Project Documents. These may include travel, lodging, mileage, permits, locations, equipment rentals, specialized crew, talent, music, stock assets, shipping, hard drives or storage media, licensing fees, and other third-party production costs.

Invoices must be paid according to the terms stated on the applicable invoice or Project Documents. Where permitted by the applicable agreement and law, failure to make required payments may result in suspension of work, postponement of production, withholding of deliverables or applicable usage rights, cancellation of future bookings, or other remedies available under the agreement or law.

revisions, changes and additional work

Included revisions, if any, are defined in the applicable Project Documents.

A revision generally means a reasonable modification to work already produced within the agreed creative direction and scope. A request that materially changes the approved concept, story, structure, deliverables, audience, format, creative direction, or production requirements may constitute additional work rather than a revision.

Requests exceeding the included revision scope may require additional fees and schedule adjustments.

If a client requests additional work, we may provide a revised estimate, change order, supplemental proposal, written approval request, or other documentation before proceeding.

cancellations, rescheduling and production changes

Cancellation and rescheduling terms applicable to a project will be established in the relevant Project Documents.

Production often requires Video Colorado to reserve dates, decline other work, schedule personnel, secure equipment, coordinate participants, arrange travel, or make non-refundable commitments before filming begins. As a result, deposits, committed third-party costs, work already performed, and applicable cancellation or rescheduling charges may remain payable following a cancellation or schedule change where provided by the applicable agreement.

Weather, emergencies, illness, location restrictions, government action, travel disruption, equipment issues, participant availability, safety concerns, events beyond reasonable control, or other circumstances may require production to be postponed, relocated, modified, or rescheduled.

The parties will address those circumstances according to the applicable Project Documents and the specific facts of the project.

ownership, intellectual property and usage rights

Ownership and usage rights for client projects are determined by the applicable Project Documents.

Unless expressly agreed otherwise in writing, Panamericana Media LLC retains ownership of its pre-existing intellectual property, production methods, workflows, processes, know-how, templates, tools, project systems, design systems, techniques, and other materials developed independently of a particular client project.

Working files, project files, raw footage, unused footage, unused concepts, drafts, project organization, editing timelines, production files, source files, and similar materials do not automatically transfer to a client merely because they contributed to the creation of a final deliverable. Any transfer or delivery of those materials must be expressly agreed in writing.

Final deliverables may be assigned or licensed to the client as specified in the applicable Project Documents. Where rights are conditioned upon payment, those rights become effective only after the required payment has been received in full.

Third-party materials, including music, fonts, stock footage, stock photography, software, templates, trademarks, talent rights, or other licensed assets remain subject to the terms and limitations of their respective licenses and rights holders.

Nothing in these Terms transfers intellectual-property rights beyond those expressly granted in writing.

portfolio and promotional use

Subject to the applicable Project Documents, confidentiality obligations, releases, embargoes, licenses, and client restrictions, Video Colorado may request or retain the right to identify completed public work and display appropriate portions of that work in portfolios, reels, case studies, websites, social media, presentations, award submissions, pitches, and other materials demonstrating our capabilities.

Confidential, embargoed, unreleased, restricted, or otherwise protected materials will be handled according to the applicable agreement and permissions.

If a Project Document establishes different portfolio or promotional-use terms, that document controls.

client-provided materials and permissions

When you provide materials, information, instructions, trademarks, logos, photographs, footage, music, claims, data, locations, participants, or other content for use in a project, you represent that you have the rights, permissions, licenses, authorizations, or other legal basis reasonably necessary for us to use those materials as directed for the project, unless the applicable Project Documents assign responsibility for obtaining those rights to Video Colorado.

Clients are responsible for the accuracy of factual claims, names, dates, statistics, legal disclosures, product claims, policy statements, or other client-supplied information unless we have expressly agreed in writing to independently research or verify that information.

We may decline, suspend, modify, or request clarification regarding work that we reasonably believe may violate applicable law, infringe third-party rights, create an unreasonable safety or security risk, materially misrepresent facts, or fall outside the agreed scope.

talent, participations, locations and releases

Productions may involve employees, clients, community members, interview participants, actors, models, minors, property owners, venues, locations, or other third parties.

Responsibility for obtaining releases, permissions, permits, licenses, or authorizations will be determined by the applicable Project Documents. Unless expressly assigned to Video Colorado, the client remains responsible for permissions associated with people, locations, materials, or access supplied or arranged by the client.

Where Video Colorado is responsible for obtaining specified releases or permissions, our responsibility is limited to those expressly identified in the applicable Project Documents.

raw footage, working files and project archives

Unless otherwise agreed in writing, raw footage, project files, editing timelines, working files, unused material, and production source files are not included as client deliverables.

If raw footage or working files are requested, their availability, preparation, transfer, licensing or ownership terms, storage requirements, and any associated fees will be determined separately.

We may retain project files or archives for a reasonable period for purposes such as project continuity, revisions, re-delivery, backup, portfolio administration, or business records, but we do not guarantee indefinite archival storage unless a written agreement specifically provides for it.

Clients are responsible for maintaining their own backups of final deliverables after delivery.

third-party services and materials

Projects may depend on third-party providers, platforms, software, contractors, venues, rental companies, talent, music licensors, stock libraries, cloud services, delivery platforms, or other third parties.

We are not responsible for changes, interruptions, failures, pricing changes, policy changes, licensing restrictions, account actions, outages, or other acts or omissions of third parties outside our reasonable control.

Third-party materials and services remain subject to their respective terms, licenses, privacy policies, and restrictions.

no guaranteed results

We aim to produce thoughtful, professional creative work and provide a reliable production process. However, the performance or impact of creative work depends on many factors outside our control, including audience behavior, media spend, distribution strategy, platform algorithms, timing, market conditions, public response, client implementation, and decisions made after delivery.

Unless expressly guaranteed in a signed written agreement, we do not guarantee any particular number of views, impressions, engagements, leads, donations, sales, conversions, media placements, awards, rankings, audience response, fundraising results, policy outcomes, or other commercial, communications, or organizational result.

Creative work necessarily involves subjective judgment. Differences in personal taste or creative preference do not by themselves constitute a failure to provide services where the work has otherwise been performed in accordance with the applicable agreement.

website content and intellectual property

Unless otherwise indicated, the Site and its original content, including text, design, graphics, photographs, videos, reels, project descriptions, layouts, branding, and the Video Colorado name and logo, are owned by Panamericana Media LLC or used with authorization.

Client names, logos, trademarks, photographs, footage, and other third-party materials displayed in connection with portfolio projects remain the property of their respective owners where applicable and are displayed subject to relevant permissions, agreements, licenses, or lawful uses.

You may share links to publicly available pages. You may not reproduce, republish, distribute, modify, sell, license, create derivative works from, or commercially exploit Site content without the permission of the applicable rights holder, except as permitted by law.

confidentiality

Confidentiality obligations relating to a particular project are governed by the applicable Project Documents, nondisclosure agreements, or other written commitments.

Where confidential information is provided to us in connection with a project, we will handle it consistent with applicable contractual obligations and our Privacy Policy.

Nothing in these Terms should be interpreted as overriding a separately executed nondisclosure agreement or confidentiality provision.

privacy

Our collection and processing of personal information is described in the Video Colorado Privacy Policy.

These Terms and the Privacy Policy should be read together where applicable, but they serve different purposes. The Privacy Policy describes our handling of personal information; these Terms govern use of the Site and certain aspects of our services and business relationships.

website availability and accuracy

We work to keep the Site useful, available, and reasonably accurate, but we do not guarantee that the Site will always be available, uninterrupted, secure, error-free, or current.

Portfolio information, service descriptions, project examples, availability, and other Site content may change without notice.

The Site may contain links to or embedded content from third-party websites or platforms. We do not control those third parties and are not responsible for their availability, content, security, terms, or practices.

disclaimer of warranties

To the fullest extent permitted by applicable law, the Site is provided on an “as is” and “as available” basis.

Except for obligations expressly stated in an applicable signed agreement, Panamericana Media LLC disclaims warranties regarding the Site or services to the fullest extent permitted by law, whether express, implied, statutory, or otherwise.

Nothing in these Terms excludes any warranty, right, or remedy that cannot lawfully be excluded.

limitation of liability

To the fullest extent permitted by applicable law, Panamericana Media LLC, doing business as Video Colorado, will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, lost revenue, lost business opportunities, loss of goodwill, or loss of data, arising out of or relating to the Site, these Terms, or services covered by these Terms, except where such limitation is prohibited by law or superseded by an applicable Project Document.

To the fullest extent permitted by law, Panamericana Media LLC’s aggregate liability arising out of or relating to a particular service or project will not exceed the amounts actually paid to Panamericana Media LLC for the portion of the services giving rise to the claim, unless an applicable signed agreement expressly provides otherwise or such limitation is prohibited by law.

The limitations in this section are intended to allocate risk between the parties and apply to the fullest extent enforceable under applicable law.

indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Panamericana Media LLC and its owners, officers, employees, contractors, and representatives from third-party claims, liabilities, damages, losses, and reasonable costs arising from your unlawful misuse of the Site, your material violation of these Terms, or materials or instructions you provide that infringe or violate the rights of another person, except to the extent caused by Panamericana Media LLC’s own conduct for which indemnification may not lawfully be required.

Project-specific indemnification obligations, if any, are governed by the applicable Project Documents and will control in the event of a conflict.

suspension or termination

We may suspend or restrict access to the Site where reasonably necessary to address fraud, security risks, unlawful conduct, infringement, abuse, or material violations of these Terms.

Either party may terminate a project only as permitted by the applicable Project Documents or applicable law.

Termination does not automatically eliminate obligations that arose before termination. Payment obligations, committed third-party costs, applicable cancellation charges, confidentiality duties, intellectual-property provisions, licenses, indemnification obligations, limitations of liability, and other provisions that by their nature should survive may continue after termination to the extent provided by the applicable agreement or law.

events beyond reasonable control

Neither party will be responsible for delay or failure to perform an obligation to the extent caused by circumstances beyond that party’s reasonable control, subject to the applicable Project Documents and law.

Such circumstances may include severe weather, natural disasters, fire, public emergencies, government actions, labor disruptions, widespread technology or utility failures, transportation disruptions, venue closures, public-health emergencies, or other events that could not reasonably have been prevented or overcome.

Payment obligations for work already performed or non-cancellable third-party commitments are not automatically excused by such an event.

governing law and venue

These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-law principles.

Unless an applicable Project Document validly provides otherwise, disputes arising from these Terms will be subject to the jurisdiction of the state or federal courts located in Colorado, and the parties consent to such jurisdiction and venue to the extent permitted by law.

changes to these terms

We may update these Terms from time to time to reflect changes in the Site, our services, our business practices, or applicable legal requirements.

The Last Updated date at the top indicates the most recent revision.

Changes to these website Terms apply prospectively. An active project governed by signed or accepted Project Documents will continue to be governed by those documents unless the parties agree otherwise.

Severability and No Waiver

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law, and the affected provision will be interpreted or limited as necessary to make it enforceable where permitted.

Our failure to enforce a provision of these Terms on one occasion does not waive our right to enforce that provision or another provision later.

Entire Agreement for Website Use

These Terms, together with our Privacy Policy and any other policies expressly incorporated by reference, constitute the general agreement governing use of the Site.

For client services and productions, the applicable Project Documents form part of the agreement between the parties and control over these Terms where expressly provided or where the documents conflict regarding the project.
